1. Description of Service

Mindload is a local-first macOS application that allows users to index their personal files and interact with them using Artificial Intelligence (AI) models. The App processes and stores your files locally on your device. Cloud AI features are provided on a subscription basis, granting access to Large Language Models (LLMs) via our secure proxy servers.

2. Subscription and Billing

• Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders and handles all payment processing, invoicing, and tax compliance.
• Plans and Limits: Subscriptions come in tiers (Free, Power, Pro), each with a specific monthly allowance of AI queries. Unused queries do not roll over to the next month.
• Free Tier: The Free plan includes a limited number of AI queries per month. Local features (file indexing, search, embeddings) are always free and unlimited.

3. Acceptable Use

You agree not to:

• Attempt to bypass, manipulate, or circumvent the query limits or subscription restrictions of your plan.
• Reverse engineer, decompile, or attempt to extract the source code of the proxy servers or backend infrastructure.
• Use automated tools, scripts, or bots to programmatically access the AI features or scrape the service.
• Share your account credentials with third parties or allow multiple users to access a single account.
• Use Mindload to process or transmit content that is illegal, harmful, or violates third-party rights.

We reserve the right to suspend or terminate accounts that exhibit abusive behavior.

4. User Data and Responsibilities

• Your Content: You retain all rights and ownership to the files and documents you process using Mindload. Because Mindload is local-first, you are solely responsible for the backup and security of your files and the local databases created by the App.
• Cloud Processing: When you use cloud AI features, small text snippets from your documents are sent to third-party LLM providers via our proxy. None of these providers use your data for AI model training. You acknowledge and accept this data flow as a necessary part of the cloud AI functionality.

5. Artificial Intelligence Disclaimer

Mindload utilizes third-party AI models provided by Google, OpenAI, and Anthropic. You acknowledge that:

• AI models can produce inaccurate, incomplete, or misleading output (often called "hallucinations").
• While Mindload includes citation validation to link answers to your source documents, the accuracy of AI-generated content is not guaranteed.
• You should independently verify any critical information, especially concerning legal, medical, or financial matters. Mindload is not a substitute for professional advice.

6. Limitation of Liability

To the maximum extent permitted by law, Mindload and its creators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the App; (b) any inaccuracy in the AI-generated output; (c) data loss on your local device; or (d) any unauthorized access to or alteration of your transmissions or data.

7. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the App, specific features, or any specific LLM provider integration at any time. We will make reasonable efforts to notify users of significant changes.

8. Termination

We may terminate or suspend your access to the service at any time, with or without cause, with or without notice. Upon termination, your right to use the cloud AI features ceases immediately. Your local data remains on your device and is unaffected.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Brazil.
